Affiliation Conditions

The present Affiliate Agreement contains the supplemental terms and conditions that apply to your membership of the Partner Program as a Zilok Member. By using the Affiliate Tools (including referral emails, referral links, referral banners), you acknowledge that you have read and agree to this Affiliate Agreement and the General Terms of Use.

Definitions

Throughout this Agreement, capitalized terms shall have the following definitions:

"Partner Member" means a a Zilok Member, who (i) has created and completed an account on Zilok, and (ii) is using any of the Affiliate Tools in the attempt to bring new people to create accounts on Zilok.

"Affiliate Tools" mean the array of tools such as, and without limitations, referral emails (but not Spam—See Terms of Use), referral links, referral promotional banners, that are made available to Zilok members through the Partner Program.

"Affiliated Member" means a User that created a new account on Zilok by clicking on an Affiliate Tool provided by a Partner Member.

"Affiliation" means the relationship between a Zilok Partner Member and an Affiliated Member.

"Active Member" means a User, who (i) created an account on Zilok; (ii) obtained "Confirmed" user status by completing its profile on Zilok; and (iii) has completed at least one Rental Transaction through Zilok, as an Owner or as a Renter, within 30 days of its Zilok account creation.

"Affiliation Rewards" means the compensation that is earned by a Partner Member through the Partner Program.

"Completed Transaction" means that (i) a Renter made a Reservation Request to an Owner, requesting an Item for rent, and The Owner of the Item has accepted the Reservation Request through the Zilok website.

Acceptance

This Agreement is established between Zi Group SPRL ("Zi Group", or "Zilok"), and the Partner Members of the Zilok Site. Using the Affiliate Tools constitutes an agreement to be bound by the terms and conditions of the present Agreement. The Affiliate Conditions being established being Zi Group and actual Zilok members who already accepted Zilok’s Terms of Use, acceptance of the Affiliation Conditions implies acceptance of the Terms of Use of Zilok.

Term of the Affiliation

The Affiliation between a Partner Member and an Affiliated Member will begin when the member to be affiliated will have created an account using the Affiliate Tool provided by the Partner Member and will have confirmed the account (thus becoming an Affiliated Member). The Affiliation will last for one year from the date of the Affiliated Member account confirmation. During the Affiliation, the Partner Member will earn Affiliation Rewards for each completed transaction involving the Affiliated Member as an Owner or a Renter.

Affiliation Rewards

The Partner Member earns 10% of the commissions earned by Zilok for Completed Transactions involving the Affiliated Member as a Party. The Affiliation Rewards are based on commissions earned by Zilok paid for and validated by the Owner, that is 30 days after the end of the rental.

As Partner Member, you will be entitled to the Affiliation Rewards exclusively as calculated and displayed on Zilok. Zilok may change or modify these Affiliation Conditions from time to time at our sole discretion. Any such modifications will take effect only after being published online and emailed to the email address provided by the Partner Member. Any such modifications only apply to subsequent Affiliation Rewards earned by the Partner Member.

Payment

Affiliation Rewards can only be paid to the Partner Member through Paypal. Zilok is not responsible for any fees charged by Paypal. Payment of Affiliation Rewards can be made once the cumulated Affiliation Rewards have reached a total amount greater or equal to 50 US dollars. Zilok reserves the right to subtract any processing fees charged by Paypal to the Affiliation Rewards Paid to Partner Members.

Obligations of the Partner Member

Use of the Affiliation Tools shall be made in accordance with all applicable laws and regulations. You must use the Partner Program in a manner that demonstrates common sense and respect for the rights of Zilok and third parties. In particular, the Partner Member commits to respect the conditions listed thereafter. In case of a violation of these conditions, you will be removed from the Partner Program, the Agreement will be terminated with complete forfeit of Affiliate Rewards commissions.

ANTI-SPAMMING POLICY

Zilok prohibits you from engaging in any form of unsolicited commercial emailing (commonly referred to as "spamming") or the sending of e-mails that are misleading, spoofed, contain misleading subject lines, contain inaccurate or misleading sender or recipient data, or violate applicable State or Federal Statutes. For the purposes of Zilok’s definition, spamming also includes similar, abusive behavior in a third party "chat room" or website or the sending of unsolicited or misleading Instant Messages, Chatroom, Newsgroup, ICQ or IRC messages. Such behavior could include automatically sending scripted text (and/or website URLs) disguised as "chat" or conversation into any third party chat room. Zilok at its own discretion and not as its exclusive remedy, reserves the right to suspend, report, or terminate the Partner Member, or otherwise take remedial action if it is determined that the Partner Member was spamming or in violation of this provision or applicable law. PARTNER MEMBERS VIOLATING THIS PROVISION WILL HAVE ANY AFFILIATE REWARDS OWED FORFEITED BY ZILOK.

You further agree to fully and immediately respond to any and all requests or queries we make of you regarding your compliance with this provision, and to report to us any allegations of spamming or other violations of this provision made against you or others in connection with Zilok.

We grant you a non-exclusive, non-transferable, revocable license to use our logos, trade names, trademarks and similar identifying material (collectively "Affiliate Tools"), solely to promote our Services and Membership. You are only entitled to use the Affiliate Tools to the extent you are a Partner Member in good standing. You shall not use any Affiliate Tools other than to advertise membership of Zilok. You agree not to use the Affiliate Tools in any manner that is disparaging or that otherwise portrays Zilok in a negative or misleading light. We reserve all of our rights in the Affiliate Tools, and all other intellectual property rights thereto. We may revoke the rights granted to you pursuant to this section at any time. The rights granted to you pursuant to this section shall terminate upon the effective date of the expiration or termination of this Affiliation Agreement and by that time you shall cease and desist all use of the Affiliate Tools.

Affiliation conditions

A Partner Member can have an unlimited number of Affiliated Members, but shall not be affiliated to himself/herself. Zilok shall not be a party to any agreement you have with other parties, and you are not authorized to make any commitment on behalf of Zilok. You shall not reward or pay directly or indirectly in any way other parties to influence them to become your Affiliated Members or to otherwise increase your Affiliation Rewards.

Independence

As a Partner Member, you will use the Affiliate Tools at your sole discretion. You and Zilok are independent contractors and nothing in this Agreement will create any partnership, joint venture or agency relationship. You will have no authority to make or accept any offers, warranties, or representations on our behalf. You will not make any statement, whether on your Site or otherwise, that would cause confusion as to our relationship with you.

Accepted Use

When using the Partner Program and the Affiliate Tools, you shall not infringe or otherwise harm on the rights of others. (including, without limitation, intellectual property rights). You shall not provide, promote, distribute, place or otherwise publish as a Partner Member any content, or web site that includes content, that is libelous, defamatory, obscene, pornographic, abusive, offensive, fraudulent, misleading or illegal. As Zilok may not review all information provided by you, you shall remain solely responsible for the content you publish on the Internet or by any other means. . Affiliate Tools may not be placed in newsgroups, unsolicited e-mail, Instant Messaging networks, banner networks, counters, chatrooms or guestbooks.

Limitation of Liability

Under no circumstances shall zilok be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if zilok has been advised of the possibility of such damages), resulting from your participation in the affiliation program, whether the damages arise from use or misuse of the affiliation program, affiliation tools, the site or the service, from inability to use the site or the service, or the interruption, suspension, modification, alteration, or termination of the site, the service, member account, partner membership, affiliation, or partner program. Such limitation shall also apply with respect to damages incurred by reason of other services or products received through or advertised in connection with the site or the service or any links on the site, as well as by reason of any information or advice received through or advertised in connection with the site or the service or any links on the site. These limitations shall apply to the fullest extent permitted by law.

In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitation may not apply to you.

Indemnity

Upon a request by us, you agree to defend, indemnify, and hold Zilok and Zilok’s Affiliates harmless from all liabilities, claims, and expenses, including attorney's fees, that arise from your participation in the Partner Program. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
